Q. So my friend (Byron Cabell) started a corporation following all the proper legal formalities in the formation process. But my friend is kind of messy and he failed to keep corporate records and does not separate his business property from his personal property. If a creditor discovers the poor financial status of my friends business and decides to sue Cabell as an individual, will the creditor succeed? What theory will the creditor use to hold Cabell personally liable?

A. Failure to keep corporate records is a way for a creditor to pierce the corporate veil. Normally, if properly done, a corporation CAN shield an individual from liability. However, I would be remiss if I didn't explain further. In many start up businesses, the business has no credit rating. As a result, the business can't get credit on its own. Therefore, the owner or owners have to sign a pledge that they are individually liable for the debts. This makes the corporation somewhat pointless. Your friend needs to sit down with an attorney to make sure that there are no legal problems with having failed to keep proper corporate records. Depending on the state, there may also be requirements that have to be filed with your state's… [cont.]
